Software Licence

The Software is licensed, not sold. By accessing, installing, or using the Software, you agree to the following terms.

1. Licence Grant

You are granted a limited, non-exclusive, non-transferable licence to install and use the Software solely for your internal business purposes. No intellectual property rights are transferred.

2. Restrictions

You must not:

  • copy, reproduce, or redistribute the Software;

  • sublicense, rent, lease, loan, or otherwise provide the Software to any third party;

  • modify, adapt, translate, or create derivative works from the Software;

  • reverse-engineer, decompile, disassemble, or attempt to derive the source code or underlying concepts;

  • use the Software for benchmarking, competitive analysis, or to develop a competing product or service.

3. Source Code Provision

Where source code is supplied, it is provided solely to enable the Software to operate as intended. It does not grant any rights to alter, reproduce, or distribute the code.

4. Contributions

Any paid contributions, enhancements, or code submissions from contractors or third parties shall be assigned to the Licensor and shall form part of the Licensor’s intellectual property.

5. Intellectual Property

All rights, title, and interest in and to the Software, including all code, documentation, and related materials, remain the exclusive property of the Licensor.

6. Warranty Disclaimer

The Software is provided “as is”, without any warranty of any kind, whether express or implied.

7. Liability

To the fullest extent permitted by law, the Licensor accepts no liability for any loss or damage arising from use of the Software.

8. Governing Law

These terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
